Additional Costs
Any work or deliverables beyond the agreed-upon scope in the Order Document will be subject to additional charges. Such charges will be communicated and agreed upon in writing before additional work commences.
4. Intellectual Property
All content, designs, code, and materials created by BrainyForce remain the intellectual property of BrainyForce until full payment has been received. Upon receipt of full payment, ownership of the deliverables as defined in the Order Document will be transferred to the client, unless otherwise agreed in writing.
5. Non-Refundable Services
Due to the digital nature of our services, most of our services are non-refundable once work has commenced or been delivered. Refunds will only be provided under specific circumstances as outlined in the Order Document. No refunds will be issued for completed services unless explicitly stated in the project agreement.
6. Limitation of Liability
BrainyForce is not liable for any indirect, incidental, or consequential damages resulting from the use of our services. Our liability is strictly limited to the amount paid for the service in question. BrainyForce will not be held responsible for any issues arising from third-party services or software used during the project.
7. Termination of Services
Either party may terminate the service agreement by providing written notice. In the event of termination by the client, BrainyForce will invoice for all work completed up to the date of termination, and all outstanding payments will become immediately due. Any non-payment will result in the withholding of all deliverables.
8. Modifications to Terms
BrainyForce reserves the right to modify these Terms and Conditions at any time. Any changes will be posted on our website, and your continued use of the services constitutes acceptance of the modified terms.
9. Governing Law
These Terms and Conditions are governed by and construed in accordance with the laws of India. Any disputes arising from these terms will be subject to the exclusive jurisdiction of the courts in India.
10. Dispute Resolution
In the event of any dispute, the parties agree to attempt resolution through negotiation or mediation before initiating any formal legal proceedings.
